These terms are a binding agreement between you and OhMySaaS, LLC ("we", "us"), the operator of QuQi. By creating an account or using the service you accept them. If you are agreeing for a company, you confirm you are authorised to bind it.

1. The agreement

These terms, together with the Privacy Policy and Cookie Policy, form the whole agreement between us regarding QuQi and supersede any prior discussions.

2. Eligibility

You must be at least 16 and legally able to enter contracts. QuQi is a business tool and is not offered for personal or household use.

3. Your account

• Give accurate registration details and keep them current.
• You are responsible for everything done under your account, and for keeping your credentials secret.
• Tell us promptly at security@quqi.io if you suspect unauthorised access.
• If you invite teammates, you are responsible for their use and for having the right to share project data with them.

4. Plans, billing, and credits

Paid plans renew automatically for the same period until cancelled. Fees are quoted exclusive of taxes, which you are responsible for unless we are required to collect them.

• Cancellation takes effect at the end of the current billing period. You keep access until then.
• Fees already paid are non-refundable except where required by law or expressly stated by us in writing.
• Usage limits — crawl volume, articles, and credits — are set by your plan. Exceeding them may pause work until the next period or until you upgrade.
• Price changes take effect at your next renewal, with at least 30 days' notice.
• Non-payment may result in suspension after we notify you.

5. Acceptable use

You must not:

• Break the law, infringe anyone's rights, or violate a third party's terms;
• Generate content that is unlawful, defamatory, deceptive, or designed to mislead search engines in ways that violate their guidelines;
• Produce spam, malware, or bulk low-value content at scale;
• Probe, scan, overload, or attempt to bypass any limit or security control;
• Reverse engineer the service, or use it to build a competing product;
• Resell or provide access to third parties except as your plan permits;
• Submit personal data you have no right to process, or special-category data.

We may suspend an account that breaches this section, immediately where the risk is serious.

6. Crawling rules

You may only crawl domains you own or are authorised to analyse. You are solely responsible for that authorisation.

Our crawler identifies itself, honours the limits you configure, and applies rate controls. We may cap crawl depth, page counts, or frequency to protect the service and the sites being crawled. We will refuse to crawl targets that appear to be internal or private network addresses.

7. AI-generated output

Review before you publish. AI output can be wrong, outdated, biased, or unintentionally similar to existing material. You are responsible for checking accuracy, originality, and compliance before anything goes live under your name.

As between you and us, output generated for you is yours. We make no claim of ownership. We cannot guarantee output is unique — similar prompts may produce similar results for other customers — and we do not warrant that it will rank, convert, or perform in any particular way.

Search engines change their guidelines independently of us. Nothing in QuQi is a guarantee of ranking, traffic, or revenue.

8. Your content

You keep all rights in the data, text, and materials you submit. You grant us a limited licence to host, process, transmit, and display that content strictly to operate the service for you — including sending relevant portions to the AI and infrastructure providers listed in our Privacy Policy.

You warrant you have the rights necessary to grant that licence.

9. Third-party integrations

Connecting WordPress, Shopify, Google Search Console, a webhook, or any other service is between you and that provider, under their terms. We are not responsible for their availability, behaviour, or changes they make. Publishing actions you authorise are carried out with the credentials you supply — check them before you enable automatic publishing.

10. WhatsApp and Telegram assistants

• Linking requires verifying possession of the account, and only a verified account can reach your data.
• The binding persists until you disconnect it. Anyone with access to that linked device or account can query your data through the assistant. Treat it like a logged-in session and unlink promptly if a device is lost.
• Messages pass through Meta Platforms or Telegram under their terms, and we cannot guarantee their delivery or uptime.
• Do not use the assistant for urgent, safety-critical, or confidential matters.

11. Our intellectual property

QuQi, its software, design, and the QuQi name and marks belong to OhMySaaS, LLC. These terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription — nothing more.

If you send us feedback, we may use it freely and without obligation to you.

12. Availability and support

We aim for continuous availability but do not promise it. Maintenance, third-party outages, and factors outside our control can interrupt service. Unless your plan includes a written service level agreement, QuQi is provided without an uptime commitment.

13. Suspension and termination

You may close your account at any time from settings. We may suspend or terminate for material breach, non-payment, legal requirement, or risk to the platform — with notice where practicable, immediately where the risk is serious.

On termination your right to use the service ends. You may export your data before closing; after closure we delete it as described in the Privacy Policy.

14. Disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty as to accuracy of AI output or improvement in search performance.

15. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

Our total aggregate liability arising out of these terms will not exceed the greater of the amount you paid us in the 12 months before the claim, or USD 100.

Nothing here excludes liability that cannot lawfully be excluded — including fraud, or death or personal injury caused by negligence.

16. Indemnity

You will defend and indemnify us against claims arising from your content, your use of the service, your breach of these terms, or your crawling of a domain you were not authorised to analyse.

17. Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, and both parties consent to venue there.

If you are a consumer in a jurisdiction whose law grants you mandatory local protections, this clause does not remove them.

18. Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email or in-app. Continuing to use QuQi after that date means you accept the new terms; if you do not, cancel before they take effect.
